TERMS OF
SERVICE & LICENSE
These terms govern all creative client engagements, commercial asset licensing, generative model workflows, and project production agreements with ReelisticAI Creative Studio.
1. Scope of Services
ReelisticAI Creative Studio ("Company", "we", "us", "our") provides high-end cinematic AI video production, generative art direction, 3D physics rendering, and digital marketing asset creation.
All services rendered are governed by the specific project proposal, creative brief, or service agreement executed between ReelisticAI and the client ("Client", "you").
We reserve the right to refine or upgrade our neural rendering pipelines, model architectures, and production workflows to ensure maximum visual fidelity.
2. Intellectual Property & Ownership
Final Master Ownership: Upon full payment of all agreed invoice fees, the Client receives exclusive, perpetual, worldwide commercial exploitation rights to all final rendered video files and master assets delivered by ReelisticAI.
Pre-Existing IP & Tools: ReelisticAI retains all rights to its proprietary rendering pipelines, custom AI model configurations, baseline prompt architecture, workflows, and code logic created before or during the project.
Portfolio Rights: Unless explicitly restricted by a signed Non-Disclosure Agreement (NDA), ReelisticAI reserves the right to display non-confidential final deliverables in studio showreels, website portfolios, and marketing case studies.
3. Client Materials & Warranties
Asset Authorization: The Client warrants that all logos, trademarks, reference footage, product CAD files, audio stems, and brand materials provided to ReelisticAI are owned by the Client or licensed with full sub-licensing authorization.
Indemnification: The Client agrees to defend, indemnify, and hold harmless ReelisticAI against any third-party claims, copyright infringement suits, or trademark disputes arising from assets provided by the Client.
Quality of Source Inputs: High-resolution source assets yield optimal neural render quality. ReelisticAI is not responsible for sub-optimal output resulting from low-resolution or corrupted client inputs.
4. Generative AI & Creative Process
Model Fidelity: Our neural generative workflows create bespoke visual assets. Due to the stochastic nature of generative AI algorithms, exact pixel-by-pixel reproduction across iterations may vary slightly.
Client Verification: All preliminary drafts, storyboards, and motion test renders are presented to the Client for review and approval prior to master export.
Ethics & Compliance: ReelisticAI strict rules prohibit generating deepfakes of real unauthorized individuals, hate speech, explicit content, or fraudulent promotional material.
5. Payment Terms & Invoicing
Deposit Requirements: Projects typically require a 50% non-refundable deposit before production commencement, with the remaining 50% balance due upon final draft approval before high-resolution master file delivery.
Payment Windows: Invoices are due within 14 calendar days of issue unless specified otherwise in the client contract.
Project Suspension: Unpaid invoices beyond 30 days may result in immediate pause of rendering queues, milestone delays, or withholding of final master deliverables.
6. Revisions & Delivery Terms
Included Revisions: Standard project packages include up to two (2) rounds of revision passes for color, timing, audio mixing, and minor visual adjustments within the scope of the original brief.
Scope Creep: Substantial changes to approved storyboards, core script alterations, or complete direction pivots after production onset will require a formal change order and additional fee assessment.
Delivery Medium: Final assets are delivered digitally via secure high-speed cloud repositories in agreed formats (e.g. 4K ProRes, MP4, H.265).
7. Limitation of Liability
Cap on Liability: To the maximum extent permitted by law, ReelisticAI's total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by the Client to ReelisticAI for the specific project.
Consequential Damages: In no event shall ReelisticAI be liable for indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, or ad performance outcomes.
Third-Party Outages: We are not responsible for delays caused by third-party cloud infrastructure, AI model vendor downtime, or internet network outages.
8. Governing Law & Contact
Dispute Resolution: Any disputes or controversies arising out of these Terms shall first be attempted to be resolved amicably through good-faith negotiation between authorized representatives.
Governing Jurisdiction: These Terms of Service shall be governed by and construed in accordance with applicable laws without regard to conflict of law principles.
